These Terms of Service (“Terms”) govern your access to and use of the Blinkr mobile application, website (https://blinkr.ca), and related services (collectively, the “Service”) operated by Blinkr Inc. (“Blinkr,” “we,” “us,” or “our”).
By creating an account or using Blinkr, you agree to these Terms.
If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old to use Blinkr.
By using the Service, you represent that:
- You are at least 18 years old
- You have the legal authority to enter into these Terms
- You will comply with all applicable laws
If you are using Blinkr on behalf of a business, you represent that you have authority to bind that business.
2. Description of the Service
Blinkr provides software that allows users to:
- Create an account
- Upload receiving spreadsheets
- Scan product barcodes using their device camera
- Match scanned products against shipment records
- Manage shipment receiving workflows
- Track inventory receiving processes
Blinkr provides software tools only. Blinkr does not manufacture, ship, sell, or physically handle products.
3. Account Registration
To use Blinkr, you must create an account.
You agree to:
- Provide accurate information
- Keep your login credentials secure
- Not share your account
- Notify us immediately of unauthorized access
You are responsible for all activity under your account.
4. Subscription and Payments
4.1 Paid Services
Blinkr may offer paid subscription plans.
By subscribing, you agree to pay all applicable fees.
Payments are processed securely through Stripe, our payment processor.

4.2 Billing Authorization
By providing payment information, you authorize Blinkr and Stripe to charge your payment method for:
- Subscription fees
- Applicable taxes
4.3 Subscription Renewal
Subscriptions automatically renew unless canceled before the renewal date.
You may cancel anytime through your account settings.
4.4 No Refunds
Except where required by law, payments are non-refundable.
5. Acceptable Use
You agree NOT to:
- Use Blinkr for illegal purposes
- Upload malicious files or harmful code
- Attempt to hack or disrupt the Service
- Reverse engineer the software
- Use Blinkr to infringe intellectual property rights
- Interfere with other users
6. Your Data
You retain ownership of data you upload, including:
- Spreadsheets
- Barcode records
- Inventory data
You grant Blinkr a limited license to:
- Store
- Process
- Display
your data solely to provide the Service.
Blinkr does not sell your data.
7. Intellectual Property
Blinkr owns all rights to:
- The Blinkr software
- The Blinkr application
- The Blinkr website
- Logos, branding, and technology
You may not copy, modify, or distribute Blinkr without permission.

However, we do not guarantee uninterrupted service.
Blinkr may:

- Render.com (hosting)
- Stripe (payments)
Blinkr is not responsible for third-party services.
11. Termination
We may suspend or terminate your account if you:
- Violate these Terms
- Abuse the Service
- Engage in illegal activity
You may terminate your account at any time.
Upon termination, your access will stop.
12. Disclaimer of Warranties
Blinkr is provided “AS IS” and “AS AVAILABLE.”
We do not guarantee that:
- The Service will be error-free
- The Service will be uninterrupted
- The Service will meet all your requirements
To the fullest extent permitted by law, Blinkr disclaims all warranties.
13. Limitation of Liability
To the fullest extent permitted by law, Blinkr shall not be liable for:
- Lost profits
- Lost data
- Business interruption
- Indirect damages
- Incidental damages
- Consequential damages
Blinkr’s total liability shall not exceed the amount you paid Blinkr in the past 12 months.
14. Indemnification
You agree to indemnify and hold Blinkr harmless from claims arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any law or rights
15. Governing Law
If you are located in Canada:
These Terms are governed by the laws of the Province of Ontario and Canada.
If you are located in the United States:
These Terms are governed by applicable U.S. federal and state law.
16. App Store Terms (Apple and Google)
If you downloaded Blinkr from Apple App Store or Google Play:
You agree that:
- Apple and Google are not responsible for the Service
- Blinkr is solely responsible for support and maintenance
- Apple and Google are third-party beneficiaries of these Terms
17. Changes to These Terms
We may update these Terms at any time.
We will update the “Last updated” date.
Continued use constitutes acceptance.
